TERMS OF ENGAGEMENT

The terms below govern contractual agreements between
Olive Matters Pty. Ltd. and its clients

The fee charged covers the total consulting services undertaken for the assignment, and is based on the time spent on the project, whether at the client's premises or elsewhere.

Expenses associated directly with the assignment such as travel, accommodation and specific materials and services will be charged at cost and itemized on our invoices. Other associated and normal administrative costs such as postage, telephone, facsimile, photocopying, computer usage, etc. will be absorbed within the consulting fee.

The total consulting/contract fee and associated expenses will be invoiced at the completion of the assignment. All fees and charges are payable seven days from the date of the invoices.

Cancellation of booked assignments less than a month before the starting date will incur a charge of 30% of the anticipated fee for service.

All surveys, forecasts and recommendations in any reports relating to the assignment are made in good faith upon the basis of information before us at the time. Achievement of the objectives set out in such reports will depend, among other things, upon the effective co-operation of the client's staff.

Except where the law may otherwise require, neither Olive Matters Pty. Ltd., or its servants or agents will be liable for any loss or other consequences (whether or not due to the negligence of Olive Matters Pty. Ltd., its servants or agents) arising out of the services rendered.

In the case of a Court of Law finding Olive Matters Pty. Ltd. liable for a loss suffered by the client as a result of services rendered, the limit of loss, damage or otherwise for which Olive Matters Pty. Ltd. shall be liable will be limited to an amount not exceeding the maximum fee (if any) charged by Olive Matters Pty. Ltd. for the particular service in respect of which the loss arose.

By entering a contract for services with Olive Matters Pty. Ltd., the client indicates acceptance that the above terms and conditions are reasonable. Any disagreement with these conditions must be notified before the start of the assignment, and a variation of the conditions must be agreed to by both parties in writing before the start of the assignment.

Managing director,
